These terms and conditions of sale govern how and according to what terms the items produced and sold by GEDA s.r.l. are supplied. All contracts for the sale of goods to buyers are governed by these Terms and Conditions, which form an integral and essential part of all proposals, orders and purchase order confirmations.
The terms of sale applicable to the order are those in force at the time the order in question is made.
1.1 Unless otherwise stated, the GEDA s.r.l. list prices are given in euros (€) and are net prices before VAT for goods delivered on an ex-works basis from our facility, including packaging. The GEDA s.r.l. price lists published from time to time cancel and supersede all previous lists and, in the case of items that are sold only, are subject to actual availability of said items. GEDA s.r.l. reserves the right to confirm or alter said prices at the time the order confirmation is issued.
1.2 The technical specifications and operational features of GEDA s.r.l. items are indicated on the respective technical data sheets attached to each product. In the case of items that are not produced directly and are instead sold only, the technical specifications and operational features are those stated by their respective manufacturers. GEDA s.r.l. takes no responsibility for the truth or completeness of such information. We are under no obligation to ensure absolute accuracy in our presentation of installations and descriptions featured in our printed material. Details and measurements are provided as a general guide only and may be subject to change without prior notice where deemed necessary. GEDA s.r.l. reserves the right to remove products from its range at any time with appropriate notice, and no claims for compensation shall be accepted.
1.3 Products are not supplied on a trial basis. The Customer is responsible for the choice of the Products ordered and for ensuring that the specifications indicated meet and are in conformity with their requirements.
1.4 For non-standard colours and finishes, GEDA s.r.l. reserves the right to:
check their feasibility;
notify any additional costs;
determine appropriate delivery times.
2.1 All purchase orders submitted to GEDA s.r.l. must be complete in all their parts and must contain all elements necessary for the correct identification of the products ordered, as well as all additional information required to process delivery. Orders that do not meet these requirements may not be accepted. Each order constitutes a contractual proposal by the Customer, who thereby tacitly accepts all the terms set out herein. An order shall be binding on GEDA s.r.l. only once it has been confirmed by GEDA s.r.l.
2.2 For orders with a taxable amount of less than €200.00, GEDA s.r.l. will charge a flat-rate handling fee of €10.00, unless otherwise agreed with the Management.
2.3 In the event of non-performance of an order previously confirmed by GEDA s.r.l., the Customer will be informed as soon as possible and any amounts already paid for the undelivered goods will be refunded. In such cases, the Customer shall not be entitled to any further reimbursement, compensation or damages.
2.4 Tax documentation relating to the ordered products will be issued by GEDA s.r.l. at the time the goods are dispatched. The relevant invoice will be issued by GEDA s.r.l. by the end of the month in which shipment occurs.
2.5 Payment terms are those individually agreed with the Customer. In the event of late payment, commercial interest will be charged starting from the day following the due date, without the need for formal notice, in addition to any other costs incurred.
3.1 Products are normally delivered by courier, with shipping costs charged to the Customer. Such costs may vary depending on the taxable amount, weight and type of goods purchased. In the case of cash-on-delivery shipments, delivery is subject to payment by the Customer of the full amount due, including any cash-on-delivery charges.
3.2 Delivery dates indicated in the order confirmation are provided for guidance only and are not binding. Delays due to causes beyond the control of GEDA s.r.l. (including strikes, transport delays, natural disasters or other force majeure events) shall not entitle the Customer to cancel the order or claim damages of any kind.
3.3 GEDA s.r.l. reserves the right to deliver the Products, even those relating to the same order, in successive instalments. In such cases, only one contribution towards shipping costs will be charged, unless partial advance delivery of the goods is requested by the Customer.
3.4 Any special delivery terms or deadlines must be agreed in advance between the Customer and GEDA s.r.l. and accepted in writing by GEDA s.r.l.
Goods are transported at the consignee’s risk and peril. GEDA s.r.l. shall not be liable for theft, damage or total or partial shortages. The risk of damage or loss of the products passes to the consignee at the time of shipment. Goods are insured only upon the Customer’s explicit request and with an additional charge for the service.
Upon receipt of the goods, the Customer must verify that:
the number of packages delivered corresponds to that indicated on the accompanying tax document;
the goods correspond to what is stated in the tax document;
the packaging, including fastening or sealing materials, is intact and has not been damaged, altered or tampered with.
Any damage, discrepancies in the number of packages or delivery delays must be immediately reported to the courier at the time of delivery by noting “accepted conditionally due to missing and/or damaged packages no. …” on the relevant document and confirmed by email to GEDA s.r.l. within seven (7) calendar days. Even if the packaging is intact, the goods must be inspected within fifteen (15) calendar days of receipt and any issues promptly reported. Claims made after these deadlines or by means other than those specified will not be considered. The Customer assumes full responsibility for any declarations made. Once the courier’s document has been signed, no claims may be made regarding the external condition of the goods or the number of packages received.

5.1 All returns (which must be unused, perfectly intact and in their original packaging) must be authorized in writing by GEDA s.r.l. Returns without authorization, without proof of purchase, or sent carriage forward or cash on delivery will not be accepted. Before returning any goods, the Customer must contact GEDA s.r.l. at commerciale@gedanextage.com, providing details of the material to be returned and the reasons for the return. The request will be assessed and, where appropriate, the Customer may be asked to carry out tests or provide photographs in order to identify the issue and possibly resolve it without returning the product.
5.2 Once the returned products have been received and verified, GEDA s.r.l. will, within thirty (30) days, proceed with repair and return or, at its discretion, issue a credit note or replacement. If the defect or damage is not attributable to GEDA s.r.l., the relevant costs will be charged to the Customer.
5.3 Returns due to incorrect orders or causes not attributable to GEDA s.r.l. shall be subject to a charge equal to 30% of the value of the returned goods.
Repair and replacement
Repairs or replacements under warranty are carried out free of charge. Repairs or replacements outside warranty are subject to a quotation, upon which the Customer may decide whether to proceed. Returned products are always repaired where possible and are never automatically replaced with new products. GEDA s.r.l. may, at its sole discretion, replace parts or products that cannot be repaired or where repair is not economically viable, charging the Customer for the cost of the replacement materials after prior communication of the costs. Under no circumstances may the Customer demand replacement of returned products with new stock items. Likewise, no replacement product will be supplied before the original product has been returned.
Warning
Any product returned without prior authorization will be rejected and sent back.

Without prejudice to any mandatory consumer protection provisions, any dispute arising out of or in connection with these Terms and Conditions shall fall under the exclusive jurisdiction of the Court of Pordenone (Italy).

Pursuant to Article 13 of EU Regulation 2016/679, the data controller is GEDA s.r.l., with registered office in Porcia (PN), Via Maestri del Lavoro. GEDA s.r.l. reserves the right to change materials, finishes and dimensions of its products without prior notice.
